After taking into consideration the clients situation, motivation and objectives,
ChemInvest will
  • carry out initial research by analyzing strengths, weaknesses and potential synergies.
  • prepare the marketing process by providing
    • a list of prospective investors ("Long List")
    • the basic deal design
    • a solicitation letter
    • a Blind Profile ("anonymous") of the client
    • a Selling Memorandum for presentation to qualified investors
  • launch the marketing process by submitting solicitation letter + Blind Profile

    After having received a positive response to the solicitaion letter ChemInvest will contact the interested party to ascertain an understanding of its objectives and expectations.
  • prepare a summary about each interested investor which describes its key figures, motivation and expectations.



Based on ChemInvest's reports
the client

  • decides with whom to proceed
    In case of preferences priorities are to be set!



ChemInvest will
  • arrange a signing of a Non-Disclosure Agreement
  • submit the Selling Memorandum to the released parties
  • coordinate a first meeting
    In order to facilitate the discussion ChemInvest will prepare a presentation which will incorporate basic considerations of both parties about a transaction.



Depending on the outcome of the meeting and based on the characteristics of the assignment (e.g. MBI, MBO, auction)
ChemInvest will
  • organize and orchestrate the sales process by
    • coordinating the exchange of data and information (incl. Due Diligence review)
    • keeping records about all moves
    • acting as a buffer to reduce the strain that often arises during negotiations
    • assisting lawyers and other professional advisers to transform the outcome of the negotiations into legal contracts
